Welcome to StraightUp (“StraightUp,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the StraightUp mobile application, websites, QR-based tipping services, and related services (collectively, the “Services”).

By creating an account, accessing, or using StraightUp, you agree to these Terms. If you do not agree, do not use the Services.

These Terms of Service are designed to comply with policies required by Apple App Store Review Guidelines and Google Play Developer Policies.

1. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use StraightUp.

By using the Services, you represent that:

• You are legally capable of entering into a binding agreement
• All information you provide is accurate and current
• You will comply with all applicable laws and regulations

2. Description of Services

StraightUp is a contactless tipping platform that enables users to:

• Create digital tips using QR codes
• Send tips using linked payment methods
• Claim tips through a web-based verification flow
• Withdraw claimed funds through the mobile application

StraightUp acts as a technology platform and payment facilitator. Funds may be held temporarily in escrow accounts managed through third-party payment providers.

3. User Accounts

To access certain features, users must create an account.

You agree to:

• Maintain accurate account information
• Keep your login credentials secure
• Notify us immediately of unauthorized access
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Payments & Withdrawals

Payments are processed through third-party payment processors including Stripe.

By using StraightUp:

• You authorize us and our payment partners to process payments and withdrawals
• You agree to pay all applicable fees and charges
• You understand that payment processing times may vary

Tip Transactions

• Tips are charged immediately when a QR code is created
• Funds may remain in escrow until claimed or withdrawn
• QR codes may expire after a limited period
• Refunds are subject to review and platform policies

Withdrawals

Receivers may withdraw funds only after identity verification and payout setup are completed.

We may delay or reject withdrawals for:

• Fraud prevention
• Compliance checks
• Suspicious activity
• Regulatory requirements

5. Prohibited Activities

You agree not to:

• Use the Services for unlawful purposes
• Commit fraud, money laundering, or financial abuse
• Attempt unauthorized access to systems or accounts
• Use bots, scraping tools, or automated abuse systems
• Harass, threaten, or abuse other users
• Upload malicious software or harmful code
• Circumvent platform security features

StraightUp reserves the right to investigate and report unlawful conduct.

6. Privacy & Anonymity

StraightUp is designed to provide privacy-focused transactions.

However:

• We may collect information necessary for legal, security, fraud prevention, and operational purposes
• User identities may be disclosed when required by law, court order, or regulatory obligation

7. Third-Party Services

StraightUp may integrate with third-party services including:

• Payment processors
• Email providers

• Cloud infrastructure providers

We are not responsible for third-party services, websites, or systems.

8. Intellectual Property

All rights, title, and interest in StraightUp, including software, branding, logos, graphics, and content, are owned by StraightUp or its licensors.

You may not:

• Copy or reverse engineer the platform
• Reproduce platform content
• Use StraightUp branding without written permission

9. App Store Compliance

If you download the app through Apple App Store or Google Play:

• Apple and Google are not responsible for the Services
• Your use must comply with applicable store terms
• Apple and Google are third-party beneficiaries of these Terms where applicable

10. Service Availability

We may:

• Modify or discontinue features
• Restrict access
• Suspend accounts
• Perform maintenance without notice

We do not guarantee uninterrupted availability of the Services.

11. Fraud Prevention & Compliance

StraightUp may:

• Monitor transactions for suspicious activity
• Verify identities
• Freeze or reverse transactions when legally required
• Cooperate with law enforcement and regulators

Users may be required to complete additional verification procedures.

12. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, StraightUp disclaims all warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous availability
• Error-free operation

13. Limitation of Liability

To the maximum extent permitted by law, StraightUp shall not be liable for:

• Indirect or consequential damages
• Lost profits or revenue
• Data loss
• Unauthorized access
• Delays in payment processing
• Third-party failures

Our total liability shall not exceed the amount paid by you through the Services in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless StraightUp and its affiliates from claims, damages, liabilities, and expenses arising from:

• Your use of the Services
• Violation of these Terms
• Fraudulent or unlawful conduct

15. Account Termination

You may stop using the Services at any time.

We may suspend or terminate accounts for:

• Violations of these Terms
• Fraud or abuse
• Legal or compliance requirements
• Security concerns

Certain obligations survive termination.

These Terms shall be governed by applicable laws of the jurisdiction in which StraightUp operates, without regard to conflict of law principles.

Any disputes shall be resolved through applicable courts or arbitration where permitted by law.

Continued use of the Services after updates constitutes acceptance.
